Terms of service
Two things live here: the terms for using this website, and the ground rules that apply to an engagement. A signed proposal always takes precedence over this page.

Using this website
You are welcome to read, quote and link to anything here. The text, design, logos and code of this site remain ours. Please do not misrepresent our work as your own, or use our name to imply a relationship that does not exist.
Nothing on this site is a binding offer, a quote, or professional advice. Prices, timelines and capabilities described here are indicative. What we commit to is what appears in a written proposal signed by both sides.
Enquiries
Sending an enquiry does not create a contract or oblige either of us to proceed. We aim to reply within one working day. We may decline work — including when we think you should not build the thing you are asking about, or when another firm is a better fit.
Engagements
Every engagement is governed by its own written proposal covering scope, exclusions, timeline, milestones, price and monthly running cost. Where that proposal and this page disagree, the proposal wins. The points below are how we work by default.
You own what we build
On full payment, you own the source code, repositories, cloud accounts, domains and data for your project. They are in your name from day one, not transferred at the end. We keep no production credentials after handover.
We retain ownership of our own pre-existing tools, libraries and the ryha.dev platform. Where any of these are used in your project, you get a perpetual licence to keep using them as part of it.
Scope and changes
Work is delivered against the agreed scope. Anything outside it is handled through a written change note describing what changes, what it costs and what it does to the date — never assumed and invoiced later.
Who does the work
Software delivery is done by our own team. Regulated and specialist work — statutory audit, legal representation, tax filing, and some marketing execution — is delivered by qualified partner firms, coordinated by us. You sign one contract with us, and we remain accountable for the outcome. This is set out in full in how we deliver.
Payment
- Fixed-scope work is invoiced against milestones as set out in the proposal.
- Retainers are invoiced monthly in advance.
- Invoices are due within the period stated on them.
- Taxes are charged as applicable under Indian law.
Where an invoice remains unpaid well past its due date, we may pause work after telling you first. We will not take a live system offline over a billing dispute.
Warranty and support
Defects reported within 30 days of release are fixed at no charge, where the cause is our work. That covers things not doing what was agreed; it does not cover new features, or changes made by someone else to the system after handover.
Maintenance beyond that window runs under a support plan with a defined response window, agreed in writing.
Confidentiality
We sign an NDA before any brief is discussed, and we treat what you tell us as confidential whether or not one is in place. We will ask before naming you publicly or describing your project as a case study, and you can decline without it affecting anything.
Liability
We will do the work with reasonable skill and care. What we do not do is promise that software will be free of every defect, or accept liability for indirect or consequential loss — lost profit, lost data caused by third-party services, or business interruption outside our control.
Where liability cannot be excluded by law, it is limited to the fees paid for the engagement the claim relates to. Nothing here limits liability for fraud or anything else the law does not allow us to limit.
Ending an engagement
Either side can end an engagement in writing. You pay for work completed and costs already committed up to that point. We hand over everything produced so far — code, documentation and access — rather than holding it back. We would rather part cleanly than hold a project hostage.
Governing law
These terms are governed by the laws of India, and the courts of Tirunelveli, Tamil Nadu have jurisdiction. We would always rather resolve a disagreement in a conversation first.
